Letter of Intent
Further to our discussions in this regard, we are entering into this Letter of Intent to negotiate, in good faith, for a platform license purchasing agreement under which (the "Company") shall provide software licenses (the "Licenses") to (the "Purchaser") on the following terms:
Business Terms & Binding Nature
This Letter of Intent is not intended to be and shall not create any legal binding obligation on any party, except as specifically set out below herein. This entire transaction is subject to the negotiation and execution, in good faith, of a software license purchasing agreement as reasonably required by our legal counsel (the "Definitive Agreement"), to be negotiated following execution of this Letter of Intent and, subject to acceptance by both parties, executed on closing.
Terms for Negotiation
The Purchaser shall buy from the Company the following:
a) Trial Licenses for SchoolDaze Platform for the price of $0 per license for 90 consecutive days effective from the date of software availability in the Apple App Store and the Google Play Store.
b) A representative from SchoolDaze will contact the Purchaser on the Trial License day of expiration to confirm that:
1. The trial has concluded.
2. The SchoolDaze Platform is available for purchase at the negotiated price.
